Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and Den Of Trades LLC ("Den of Trades", "we", "us"), governing your use of the Den of Trades website, software add-on, and related services (together, the "Service"). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Den of Trades is
Den of Trades is a software add-on for the NinjaTrader® 8 platform providing a trade copier, trade journal and analytics, risk controls, and alert features (including EchoAI voice alerts). The software installs into and runs inside your own copy of NinjaTrader on your own computer. We are a software vendor only. We are not a broker, exchange, adviser, or financial institution, and we do not provide trading advice. See our Risk Disclosure.
2. Eligibility
You must be at least 18 years old and legally able to enter into this agreement. You are responsible for complying with all laws, exchange rules, and broker and prop-firm agreements that apply to you. Some uses (for example, copying trades across evaluation or funded accounts) may be restricted by your broker or prop firm; it is your responsibility to confirm that your use is permitted.
3. Licence
Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the software on machines you own or control, solely for your own trading. Your licence may be activated and enforced using a licence key and a hardware/machine identifier.
You may not
- copy, resell, sublicense, rent, lease, or distribute the software;
- reverse engineer, decompile, disassemble, or attempt to derive source code, except to the extent this restriction is prohibited by law;
- circumvent, remove, or tamper with licensing, activation, obfuscation, or security measures;
- use the software to build a competing product, or share your licence with others.
4. Subscriptions, trials, and payment
The trade journal and metrics are offered free. The trade copier and certain premium features are offered on a paid subscription, with a free trial where indicated. Prices are shown on our website and may change on renewal. Paid plans, where active, are billed through our payment processor (Stripe). By subscribing you authorize recurring charges until you cancel. Except where required by law or expressly stated, fees are non-refundable. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period.
5. Updates
The software may check for and install updates automatically (for example, the next time you restart NinjaTrader). Updates may add, change, or remove features. These Terms apply to all updates.
6. Your responsibilities
- You are solely responsible for every order placed, copied, or mirrored on every account you connect, including on follower accounts.
- You are responsible for testing the software in simulation / replay before trading real money, and for monitoring your accounts directly through your broker and NinjaTrader.
- You are responsible for your hardware, operating system, internet connection, broker, and data feed, all of which the software depends on.
- You will not use the Service for any unlawful purpose or in violation of any exchange, broker, or prop-firm rule.
7. No advice; no fiduciary duty
Nothing in the Service is financial, investment, legal, tax, or trading advice, and we owe you no fiduciary duty. Outputs of the software — including risk controls, analytics, and EchoAI alerts — are informational tools only. You make your own decisions.
8. Third-party services
The Service interoperates with and relies on third parties including NinjaTrader, your broker and data feed, and our infrastructure providers (for example Cloudflare, Stripe, Crisp, and Zoho). We do not control those services and are not responsible for their acts, omissions, availability, or terms. NinjaTrader® is a registered trademark of NinjaTrader, LLC; Den of Trades is an independent add-on and is not affiliated with, endorsed by, or sponsored by NinjaTrader, LLC.
9. Intellectual property
The software, website, and all related content are owned by Den Of Trades LLC or its licensors and are protected by intellectual-property laws. "Den of Trades" and our logos are our trademarks. These Terms grant you no rights in them except the limited licence above.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, OR ERROR-FREE, OR THAT IT WILL PREVENT ANY LOSS. YOU USE THE SERVICE AT YOUR OWN RISK.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Den Of Trades LLC AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (b) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Den Of Trades LLC and its owners and employees from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Service, your trading, or your breach of these Terms or of any law or third-party agreement.
13. Termination
We may suspend or terminate your access or licence if you breach these Terms or misuse the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 9–12 and 14) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where applicable law gives you a non-waivable right to another forum.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date; continued use after changes means you accept them.
