Read this carefully. Den of Trades is trading software — a tool. It does not give trading advice, does not guarantee any outcome, and cannot prevent losses. Trading is risky and you can lose more than you deposit. Only trade with money you can afford to lose.
Den Of Trades LLC ("Den of Trades", "we", "us"), publishes a software add-on for the NinjaTrader® 8 platform. This disclosure explains the risks of using that software and of trading generally.
1. We are a software company, not a broker or adviser
Den of Trades is a self-hosted software add-on that runs inside your own NinjaTrader 8 installation, on your own computer. We are not a broker-dealer, futures commission merchant, introducing broker, commodity trading advisor, commodity pool operator, registered investment adviser, or financial planner. We do not:
- hold, custody, or have access to your funds or brokerage accounts;
- place, route, or execute orders on our servers — orders are generated and sent by NinjaTrader from your machine to your broker;
- provide trading signals, recommendations, or personalized financial advice.
Nothing produced by the software — including the trade copier, risk controls, journal analytics, or EchoAI voice alerts — is a recommendation to buy, sell, or hold any instrument.
2. Trading involves substantial risk of loss
Trading futures, options, foreign exchange, and other leveraged or derivative products carries a high level of risk and is not suitable for every investor. Leverage can work against you as well as for you. You may sustain a total loss of your initial margin and may be required to deposit additional funds to maintain your position. Under certain market conditions you may find it difficult or impossible to close a position, and you can lose more than the amount you deposited.
3. Past performance is not indicative of future results
Any performance figures, sample dashboards, example journals, screenshots, or statistics shown on our website or in the software are illustrative only, often use simulated or historical data, and do not represent and do not guarantee future results. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.
4. Hypothetical and simulated results have inherent limitations
Where the software or our materials display simulated, backtested, or "paper" results, you should understand that such results have inherent limitations. Unlike an actual trading record, simulated results do not represent actual trading and may under- or over-compensate for factors such as lack of liquidity, slippage, and fees. No representation is being made that any account will achieve profits or losses similar to those shown.
5. The copier mirrors your decisions — and your mistakes
The trade copier replicates the orders you place on a leader account to one or more follower accounts. It will copy losing trades as faithfully as winning trades, and it multiplies your market exposure across every connected account. A single error, a bad entry, a platform outage, or a fast market can be reproduced across all accounts at once. You are responsible for every order placed on every connected account.
6. Risk controls are aids, not guarantees
Features such as daily-loss limits, lockouts, trailing stops, and tilt detection are best-effort software aids that depend on timely, accurate data from NinjaTrader, your broker, your operating system, and your hardware and network. They can fail, lag, or behave unexpectedly during outages, fast markets, disconnections, gaps, or data errors. Do not rely on any Den of Trades feature as your sole protection against loss. Stops and limits may not execute at your chosen price, and may not execute at all.
7. Software, data, and connectivity risk
The software depends on third-party platforms and infrastructure (NinjaTrader, your broker and data feed, your computer, and your internet connection) that are outside our control. Bugs, defects, incompatibilities, updates, latency, disconnections, data-feed errors, power loss, and hardware failure can all cause orders to be missed, duplicated, delayed, or mis-sized. You should monitor your accounts directly through your broker and NinjaTrader at all times and never leave automated or copied trading unattended.
8. Your responsibility
You are solely responsible for your own trading decisions and for configuring, testing, and supervising the software. We strongly recommend you test every feature in simulation / replay before using it with real money, and that you seek advice from an independent, licensed financial professional before trading. Only trade with risk capital — money you can afford to lose without affecting your financial security or lifestyle.
9. No guarantee
We do not guarantee the software will be uninterrupted, error-free, accurate, or that it will achieve any particular result. Your use of the software is governed by our Terms of Service, including the limitations of liability and disclaimers of warranty set out there.
10. Government-required disclaimer (CFTC Rule 4.41)
Hypothetical or simulated performance results have certain limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, because the trades have not actually been executed, the results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profit or losses similar to those shown.
